Terms of Use

1. Agreement to Terms

By accessing or using the Scale Architects coaching platform (the “Platform”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not access or use the Platform. These Terms constitute a legally binding agreement between you and Scale Architects, LLC, a Georgia limited liability company (“Scale Architects,” “we,” “our,” or “us”).

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of the Platform

Scale Architects provides a business coaching platform that supports coaching engagements between licensed Scale Architects coaches and their clients (“Participants”). The Platform includes session management tools, participant profile tracking, assessment frameworks, an AI-powered coaching assistant, and related features.

3. User Roles and Accounts

The Platform supports two primary user roles:

• Coaches: Licensed Scale Architects coaches who have entered into a separate Sub-License Agreement with Scale Architects. Only coaches operating under a valid Sub-License Agreement are authorized to use the Platform in a coaching capacity. Coaches may manage coaching programs, upload proprietary content and frameworks, conduct coaching sessions, and utilize Platform tools to support their coaching practice.
• Participants: Business leaders and professionals who are enrolled in coaching programs by a licensed coach and who engage with the Platform to access session materials, submit pre-session preparation, and interact with the AI coaching assistant.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Scale Architects immediately of any unauthorized use of your account.

4. Relationship to Other Agreements

Coach Sub-License Agreement.Coaches access and use the Platform pursuant to a separate Sub-License Agreement between the coach and Scale Architects. Nothing in these Terms supersedes, modifies, or limits the terms of any such Sub-License Agreement. In the event of a conflict between these Terms and a coach’s Sub-License Agreement, the Sub-License Agreement shall control with respect to the coach’s rights and obligations.

Third-Party Licenses. Certain content, frameworks, and intellectual property available through the Platform are used by Scale Architects under license from third parties, including Predictable Success, LLC. Nothing in these Terms grants you any rights to such third-party intellectual property beyond the limited right to access it through the Platform as part of your coaching engagement. All such content remains subject to the terms of the applicable license agreements between Scale Architects and its licensors.

5. AI Coaching Assistant — Disclaimer

The Platform includes an AI-powered coaching assistant that can answer questions, provide insights, and reference coaching frameworks and uploaded materials. You acknowledge and agree to the following:

• Not official advice. The AI coaching assistant is a supplementary tool. Its responses do not constitute official advice, guidance, or recommendations from Scale Architects, its coaches, or any affiliated party.
• Not a substitute for coaching. The AI assistant does not replace the professional judgment, expertise, or personalized guidance of your coach. You should always consult your coach for decisions material to your business or leadership development.
• May produce inaccurate information. The AI assistant uses large language model technology, which can generate responses that are incomplete, inaccurate, or not applicable to your specific circumstances. You should independently verify any information before relying on it.
• No professional, legal, or financial advice. Nothing provided by the AI assistant constitutes professional, legal, financial, tax, medical, or any other form of licensed advice. Seek appropriate qualified professionals for such matters.
• Framework interpretation.While the AI assistant references proprietary coaching frameworks (such as the Founder’s Evolution model, Predictable Success lifecycle, VOPS profiles, and Torus developmental levels), its interpretation and application of these frameworks may not reflect the precise intent of their creators or your coach’s methodology.
• Coach-customized AI behavior.A coach may configure voice, tone, response style, session-planning preferences, and a list of external methodologies the AI may cite for that coach’s clients. AI responses you receive may reflect those configurations and are not independently reviewed by Scale Architects for accuracy or fitness.
• Coach-listed external methodologies.The AI may reference frameworks, methods, or authors that your coach has declared they are legally authorized to use (“Signature Methodologies”). Scale Architects does not validate the underlying license and is not the publisher of those frameworks; references are made on the strength of the coach’s attestation.

6. Coach Content and My Frameworks

Coaches may (a) upload documents, frameworks, and other materials (“Coach Content”) to the Platform’s knowledge base, and (b) declare external frameworks, methods, or authors they are authorized to reference (“My Frameworks”) so the AI coaching assistant may cite them in responses to that coach’s Participants. By submitting Coach Content or My Frameworks, you represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload and use the Coach Content on the Platform, consistent with your Sub-License Agreement.
• The Coach Content does not infringe, misappropriate, or violate any third party’s intellectual property rights, privacy rights, or other legal rights.
• Each My Frameworks entry you list is covered by a current, written license held by you, or is your own original work or material in the public domain. You will maintain that authorization for as long as the My Frameworks entry remains active in your settings, and will promptly remove or update the entry if your authorization lapses or changes in scope.
• You understand that Coach Content and My Frameworks may be processed by the AI coaching assistant and surfaced to Participants in your coaching programs.
• You are solely responsible for the accuracy, legality, and appropriateness of all Coach Content and My Frameworks you submit.

Scale Architects does not claim ownership of Coach Content or My Frameworks. However, you grant Scale Architects a limited, non-exclusive license to store, process, and display them as necessary to operate the Platform and provide its services to you and your Participants. This license is subject to and does not supersede any applicable Sub-License Agreement.

Approval and revocation. Scale Architects may, in its sole discretion, approve, reject, or revoke approval of any Coach Content or My Frameworks entry at any time. Approval is an intellectual-property and scope screen only and does not constitute an endorsement, accuracy review, or warranty of fitness for any purpose.

7. Acceptable Use

You agree not to use the Platform to:

• Upload, transmit, or distribute any content that is unlawful, defamatory, harassing, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Platform, other user accounts, or systems connected to the Platform.
• Use the Platform to collect, scrape, or harvest data about other users without their consent.
• Interfere with or disrupt the integrity or performance of the Platform.
• Use the AI coaching assistant to attempt to extract, reverse-engineer, or replicate proprietary frameworks or Coach Content for use outside the Platform.
• Misrepresent AI-generated outputs as official guidance from Scale Architects or any coach.

8. Intellectual Property

The Platform, including its design, features, code, and proprietary coaching frameworks developed by Scale Architects, is the property of Scale Architects and is protected by applicable intellectual property laws. Certain frameworks and content available through the Platform are used under license from third parties, including Predictable Success, LLC, and remain the property of their respective owners. These Terms do not grant you any right, title, or interest in the Platform or any licensed content except for the limited right to use it in accordance with these Terms and your coaching engagement.

Coach Content remains the intellectual property of the respective coach, subject to the terms of their Sub-License Agreement. Participant data (including assessment profiles, session preparation responses, and chat interactions) is subject to the Scale Architects Privacy Policy.

9. Indemnification by Coaches

Coaches agree to defend, indemnify, and hold harmless Scale Architects and its officers, employees, and licensors from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) Coach Content or My Frameworks the coach submits, including claims of intellectual-property infringement, license breach, or violation of any third-party agreement; or (b) harm to a Participant resulting from prompt configurations the coach has chosen, including voice, tone, response style, and session-planning preferences. This obligation is in addition to, and does not limit, any indemnification provisions in the coach’s Sub-License Agreement; in the event of a conflict between this Section and the Sub-License Agreement, the Sub-License Agreement controls.

10. Limitation of Liability

To the maximum extent permitted by law, Scale Architects shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Platform or reliance on any AI-generated content.

You expressly acknowledge that business decisions made based on AI assistant outputs are made at your own risk. Scale Architects disclaims all liability for any actions taken or not taken based on information provided by the AI coaching assistant.

11. Disclaimer of Warranties

The Platform and all content, including AI-generated outputs, are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. Scale Architects disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

Scale Architects reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Coaches may request export of their Coach Content prior to termination, subject to the terms of their Sub-License Agreement.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Platform or by email. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
